Corporate Associate – M&A & Securities

Kilpatrick Townsend is seeking an associate with at least 3 years of relevant transactional experience, preferably in a large law firm for its Atlanta, Charlotte, Dallas, Houston, New York, Raleigh, San Francisco, Washington DC, or Winston-Salem office. The associate should have experience in M&A transactions and the ability to support others on a wide variety of deals—particularly M&A and private equity deals; the ability to draft M&A transaction documents; experience with corporate due diligence projects; the ability to manage complex transactions to closing; and familiarity with corporate governance principles. Experience with scalable startup companies and venture capital financings is also preferable. All applicants should have excellent academic credentials.

Kilpatrick Townsend’s Mechanical & Medical Devices Prosecution team seeks a USPTO-registered Associate attorney, with at least 2 years direct work experience as a patent attorney focused on the medical device or mechanical engineering fields, to be based in either our Silicon Valley (Menlo Park) or San Francisco office. This is an exciting opportunity to work on cutting-edge medical device technologies and interact directly with medical device start-ups as well as established companies. The position entails a wide variety of work including advanced patent prosecution, freedom-to-operate and clearance work, inter partes review (IPR) and due diligence for M/A, funding and IPOs. Placement in the Silicon Valley office allows for increased flexibility to work-from-home or remotely up to three days per week. Applicants should have a strong academic record including degree(s) in biomedical, mechanical, or aerospace engineering. Additional industry work experience is preferred but not required. Applicant must be detail oriented and have strong written and verbal skills. Transcripts and patent prosecution writing samples will be requested. California bar membership required.

For Patent Engineer candidates, patent prosecution experience is not required, however, related education, work experience, and sincere interest in Patent Agent / Patent Attorney career path preferred.
